Unit 1

Purpose & Culture

Unit 1 examines the fundamental relationship between purpose and culture in the context of modern governance. By the end of the unit, learners will be able to:

  1. Analyse the interplay between purpose and culture as foundational elements of modern governance.
  2. Distinguish between purpose, mission, vision, and values within an organisation’s structure.
  3. Examine the board’s role in shaping, cultivating, monitoring, and modeling organisational purpose and culture.
  4. Equip governance professionals with insights and practical tools to foster strong, values-driven cultures and reinforce cultural modelling
  5. Explore the characteristics, capabilities, and emotional intelligence required for directors to model effective behaviours of the desired org culture

Unit 2

Integrity

Unit 2 explores the evolving responsibilities of directors within the framework of modern corporate governance. Through a combination of legal, ethical, and strategic perspectives, participants will gain a comprehensive understanding of the governance principles that underpin effective leadership and accountability. By the end of the unit, participants will be able to:

  1. Examine the historical evolution of corporate governance and its impact on modern directors' responsibilities.
  2. Evaluate directors' legal duties, focusing on fiduciary responsibilities, care, diligence, and acting for proper purposes.
  3. Investigate the management of conflicts of interest and the role of good governance in decision-making.
  4. Assess the identification, analysis, and mitigation of financial and non-financial risks in organisational contexts.
  5. Critique governance failures through case studies and propose strategies to enhance oversight and accountability.
  6. Analyse the role of integrity, indemnity provisions, and insurance in protecting directors from corporate risks.

Unit 3

Entrepreneurship

Unit 3 focuses on the intersection of strategy, risk, and leadership in the context of contemporary governance. Participants will explore how effective governance practices can align strategic planning with risk oversight, enhance decision-making, and support long-term organisational success. By the end of this unit, participants will be able to:

  1. Examine how to  align strategic planning with risk management to enhance organisational growth, resilience, and adaptability.
  2. Explore  the roles and responsibilities of the board, CEO, and governance committees in fostering effective decision-making and organisational success.
  3. Assess how to identify, categorise, and manage various types of risks using robust governance frameworks and monitoring systems.
  4. Recognise and learn skills to  address cognitive biases to improve decision-making processes and encourage diverse perspectives in leadership.
  5. Explore the importance of organisational purpose, cultural alignment, and social responsibility in nurturing strong stakeholder relationships and achieving success.

Unit 4

Prosperity

Unit 4 equips participants with the financial acumen necessary to fulfil their governance responsibilities with confidence and accountability. Participants will explore how to interpret financial data, assess organisational performance, and make informed, strategic decisions. By understanding compliance obligations, financial risks, and audit practices, participants will be better prepared to oversee the financial health and long-term sustainability of their organisations. By the end of this module, participants will be able to:

  1. Describe the financial responsibilities of a director
  2. Explore aspects of organisational financial statements and extracts for solvency, profitability, and sustainability indicators.
  3. Assess informed strategies based on financial analytics to align with organisational purpose and long-term objectives.
  4. Identify potential risk factors and early warning signs of financial distress
  5. Describe how to Integrate financial performance measures with strategic decision-making to drive organisational prosperity.
  6. Explain the responsibilities as directors of  adhering to compliance, governance, and financial accountability requirements.
  7. Explore auditing practices that verify the integrity of organisational financial reports and governance processes.

Unit 5

Society

Unit 5 sees participants explore the evolving role of organisations within the broader social context. This unit delves into the concept of social licence and its growing influence on stakeholder expectations and organisational legitimacy. Participants will critically examine how legal obligations intersect with ethical considerations to shape an organisation’s role in society, and how corporate culture and board leadership influence compliance and social responsibility. By the end of this unit, participants will be equipped to:

  1. Analyse the concept of social licence and its implications on organisational operations and stakeholder relationships.
  2. Evaluate legal obligations against ethical considerations to assess an organisation's role in society and its compliance framework.
  3. Determine the impact of corporate culture and board leadership on legal obligations and social expectations.
  4. Explore the relationship between legal compliance, governance practices, and societal impact across various organisational assets.
  5. Examine consumer protection laws, competition law, and their importance in maintaining fairness and ethical conduct in business activities.

Unit 6

Succeed

Unit 6 sees participants shift focus from organisational governance to personal leadership and career development in the governance arena. This unit empowers participants to take ownership of their professional journey by crafting a compelling career narrative and developing a personal brand that aligns with their governance aspirations. Participants will explore leadership styles and their application in governance contexts, while also building confidence in networking—whether online or in person, as an extrovert or introvert. The unit culminates in the creation of a tailored director’s profile that captures each participant’s distinct strengths, values, and readiness for board-level roles.

By the end of the unit, participants will be able to:

  1. Construct a compelling career narrative to guide your  professional governance development.
  2. Develop tailored personal and professional branding strategies that align with your governance career goals.
